These Terms of Service (“Terms”) govern your access to and use of the MGH Books website and application provided by Mystical Glow Hub (“MGH Books”, “we”, “us”, “our”). By creating an account or using the Services, you agree to these Terms.
1. Acceptance & eligibility
By using the Services you confirm that you are at least 18 years old, are using the Services for a business/professional purpose, and have the authority to bind the business you represent to these Terms. If you do not agree, do not use the Services.
2. Your account
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You are responsible for the accuracy, quality and legality of the data you enter and the manner in which you use it.
- You must notify us promptly of any unauthorised use of your account.
- You are responsible for the users (staff, CA) you invite and the access you grant them.
3. Plans, billing & payments
- Paid plans are billed annually in advance. Prices are exclusive of applicable taxes unless stated otherwise.
- Payments are processed securely through our payment gateway (Razorpay). By purchasing, you also agree to the gateway's terms.
- Plans renew or expire as described at purchase; it is your responsibility to manage renewals.
- Refunds, where applicable, are governed by our Refund & Cancellation Policy.
- We may change pricing prospectively; changes do not affect the term you have already paid for.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent or infringing purpose.
- Attempt to gain unauthorised access to, disrupt, or reverse-engineer the Services or their security.
- Upload malware, or data you do not have the right to use.
- Resell, sublicense or misuse the Services except as expressly permitted (e.g. an authorised reseller/white-label plan).
5. Your data, backups & responsibility
You own the data you enter. We provide tools to store, process and export it. While we maintain automated backups and security measures, you acknowledge that you are responsible for verifying the accuracy of your records and for maintaining your own independent, periodic backups/exports of critical data.
To the maximum extent permitted by law, we are not responsible or liable for any loss, corruption or unavailability of data, howsoever caused, including due to your actions, third-party services, connectivity, force majeure or factors beyond our reasonable control.
6. Tax, accounting & compliance disclaimer
MGH Books is a software tool that assists with billing, accounting, GST, payroll and related tasks. It does not provide tax, legal, accounting or professional advice. Tax rates, computations, returns and filings depend on inputs you provide and on changing laws.
You are solely responsible for reviewing outputs, for the correctness and timeliness of your filings and statutory compliance, and for consulting your Chartered Accountant or qualified professional. We are not liable for penalties, interest, notices or losses arising from your filings, your data, or reliance on the software without independent verification.
7. Third-party services
The Services may interoperate with third-party systems (e.g. the GST/e-invoice/e-way portals, payment gateways, banks, marketplaces). These are governed by their own terms and availability, and we are not responsible for their acts, omissions, downtime or changes.
8. Intellectual property
The Services, software, design, trademarks and content (excluding your data) are owned by or licensed to us and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services per your plan. You retain ownership of your data.
9. Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that data or computations will be wholly accurate or meet your requirements.
10. Limitation of liability
To the maximum extent permitted under applicable Indian law, in no event will MGH Books (Mystical Glow Hub), its founders, employees or partners be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill, business, data, or for data loss/corruption, even if advised of the possibility.
Our total aggregate liability for all claims arising out of or relating to the Services, under any theory of liability, will not exceed the total fees actually paid by you to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim (or ₹5,000 if you use a free plan).
11. Indemnity
You agree to indemnify and hold harmless MGH Books and its personnel from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Services, your data, your breach of these Terms, or your violation of any law or third-party rights.
12. Suspension & termination
We may suspend or terminate access if you breach these Terms, fail to pay, or use the Services unlawfully or in a manner that risks harm. You may stop using the Services at any time. On termination, your right to use the Services ends; you may export your data before termination subject to these Terms.
13. Governing law & jurisdiction
These Terms are governed by the laws of India. Subject to applicable law, the courts at our registered place of business shall have exclusive jurisdiction over any disputes, and the parties will first attempt to resolve disputes amicably.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Services or by updating the “Last updated” date. Continued use after changes take effect constitutes acceptance.
